Regarding the New Share Buyback Program
At the meeting of our Company's Board of Directors on March 20, 2025;
In accordance with the Capital Markets Board's Bulletin No. 2025/16 dated March 19, 2025, regarding share buyback transactions, the Board's Decision Body's i-SPK.22.9 (dated March 19, 2025 and numbered 16/531) and the II-22.1 Share Repurchases Communiqué; Considering that the share price does not reflect the actual performance of the Company's activities, in order to contribute to healthy price formation and protect shareholders,
- The repurchase of Company shares from the Stock Exchange,
- The maximum number of shares subject to repurchase shall be 1,000,000, and the maximum fund shall be determined as 270,000,000 TL, to be covered from its own resources,
- The maximum period envisaged for the repurchase transaction shall be determined as December 31, 2025,
- The buyback process shall be included in the agenda of the first general assembly meeting to be held and shall be submitted to the shareholders for their information and approval at the general assembly,
- On the other hand, the Buyback Program prepared to be submitted for approval at the first General Assembly Meeting to be held in accordance with the decision of our Company's Board of Directors dated February 20, 2025, shall remain without subject matter,
has been decided.
Within this scope, the total number of VERUS shares owned by our Company has reached 3,343,041 as of August 14, 2025. (Ratio to company capital: 4.7758%)
